The FUTURE SOLUTIONS @fsi.solutions Portable Panel Instagram Giveaway (“Promotion”) begins on September 8th, 2020 at 3:05 PM Eastern Standard Time (“EST”) and ends on September 15th, 2020 at 11:59 PM EST.

ELIGIBILITY: PROMOTION IS OPEN ONLY TO LEGAL RESIDENTS OF THE CONTINENTAL UNITED STATES WHO ARE AT LEAST 18 YEARS OF AGE. The following are not eligible to enter or win: Instagram, @fsi.solutions, Future Solutions and their affiliates and each of their respective employees, ambassadors, and sales representative and each of their respective parent companies, divisions, subsidiaries, retailers, affiliates, promotion and advertising agencies, and any others engaged in the development, productions or distribution of promotional materials or prizes for this Promotion, and members of their immediate family (spouse, mother, father, sister, brother, ward, daughter or son and their respective spouses, regardless of where they reside) and persons living in the same household of such Released Parties, whether or not related. Void anywhere prohibited or restricted by law. By entering the Promotion, each entrant agrees to abide by these Official Rules and the decisions of Sponsor. Promotion is subject to all applicable federal, state and local laws. If you are entering the Promotion on behalf of your employer, these Official Rules are binding on you, individually, and your employer. If you are acting within the scope of your employment, as an employee, contractor, or agent of another party, you warrant that such party has full knowledge of your actions and has consented thereto. You further warrant that your actions do not violate your employer’s policies and procedures.

This Promotion is in no way sponsored, endorsed, or administered by, or associated with Instagram or any third party. By participating, you hereby release and hold harmless Instagram from any and all liability associated with this Promotion. You understand that you are providing your information to Sponsor and not to Instagram. The information you provide will only be used for the purpose of this Promotion.

HOW TO ENTER: An Instagram account is required to enter this Promotion and can be opened for free at https://www.instagram.com. By entering this Promotion, entrant agrees to abide by Instagram’s policies which can be found on https://help.instagram.com/478745558852511. To enter the Promotion, you must follow the “@fsi.solutions” Instagram account and also “Like” the picture (Giveaway Post) posted by @fsi.solutions during the Entry Period for one entry. Then share the picture (Giveaway Post) posted by @fsi.solutions to your story and tag @fsi.solutions in the story during the Entry Period for (1) extra entry. Maximum of two (2) entries during Promotion Entry Period.

WINNER SELECTION: One (1) winner will be chosen at random by a representative of FUTURE SOLUTIONS on or about September 22nd, 2020 out of all qualified entries received during the Entry Period. Odds of winning depend on the number of eligible entries received. Prize awards are subject to verification of eligibility and compliance with these Official Rules. In the event of a dispute regarding entries received from multiple users having the same Instagram account, the authorized subscriber of the Instagram account at the time of entry will be deemed to be the entrant and must comply with these Official Rules. An authorized account subscriber is the natural person who is assigned the Instagram account by Instagram.

WINNER NOTIFICATION: Sponsor’s decisions are final and binding on all matters relating to this Promotion. Potential winner will be notified via direct message by @fsi.solutions on or around September 22nd, 2020.  A potential winner is required to direct message @fsi.solutions his/her full name, date of birth, complete mailing address and email address within twenty four (24) hours of notification or the prize will be forfeited and Sponsor will have no further obligation to such potential winner. Potential winner MUST be at least 18 years of age.

PRIZE: Portable Panel Giveaway includes one (1) 100W Jaboni Power Products Folding Panel and one (1) 12W Victron BlueSolar PWM Charge Controller (LCD-USB). The prizes will be awarded. ARV for the Giveaway is $250.00.

No substitution, transfer, or cash equivalent of a prize is permitted except by Sponsor, who reserves the right to substitute a prize with one of equal or comparable or greater value, at its sole discretion, or in the event a prize becomes unavailable for any reason. Prize is awarded “as is”.

Limitation of Liability: By participating, each entrant agrees and by accepting a prize, winner agrees: (a) to abide by these Official Rules, which govern all communications regarding the Promotion, and all rules and guidelines provided by Instagram which can be found at https://www.Instagram.com. Decisions of Sponsor which shall be final in all respects relating to this Promotion; (b) to release, discharge and hold harmless the Released Parties, from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from entrant’s participation in the Promotion or the acceptance, possession, use or misuse of any awarded prize; (c) to the use of his/her name, image and/or likeness for programming, advertising, publicity and Promotion purposes in any and all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by Sponsor and its designees, without compensation (unless prohibited by law) or additional consents from entrant or any third party and without prior notice, approval or inspection, and to execute specific consent to such use if asked to do so; and (d) winner assumes all liability for any injury or damage caused, or claimed to be caused by participation in this Promotion or use or redemption of any prize.

PRIVACY: Upon entrant’s submission of an entry, the entrant will have provided FUTURE SOLUTIONS with personal data. While FUTURE SOLUTIONS is responsible for storing and using this data for the sole purpose of this Portable Panel Giveaway (“Promotion”), please understand that personal data will not be used for any other purpose. FUTURE SOLUTIONS respects applicable data privacy regulations. Personal identifiable information that is submitted by Entrants as part of this Promotion will be used to administer the Promotion, select prize winners and fulfill prizes, and will be discarded after prize is received.

GENERAL TERMS: Sponsor assumes no responsibility or liability for the following: (a) telephone or technical malfunctions that may occur; (b) any incorrect or inaccurate information, any of the equipment or programming associated with or utilized in the Promotion, or any technical or human error which may occur in the processing of use and/or installation of the prize in connection with the Promotion; (c) any injury or damage to participants related to or resulting from participating in this Promotion; or (d) any prize awarded. If, for any reason, the Promotion is not capable of running as planned, including because of, tampering, unauthorized intervention, fraud, technical failures, force majeure, or any other cause beyond the control of Sponsor which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Promotion. In the event of termination, Sponsor reserves the right to determine the winner from among all eligible entries received up to such time of such action. Sponsor reserves the right to change these terms at any time, with or without notice.

Sponsor may disqualify anyone from participating in the Promotion or winning a prize (and void all associated entries) if, in its sole discretion, it determines that such person is attempting to tamper or undermine the legitimate operation of the Promotion by cheating, deception or other unfair playing practices, or intending to annoy, abuse, threaten or harass any other entrant or Sponsor’s representatives. ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

GOVERNING LAW: This Promotion shall be governed by the laws of the Commonwealth of Indiana. Except where prohibited, each Entrant agrees that: (1) any and all disputes, claims and causes or action arising out of or connected with the Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by state or federal courts situated in The Commonwealth of Indiana; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys’ fees; and (3) no punitive, incidental, special, consequential or other damages, including without limitation lost profits may be awarded (collectively, “Special Damages”), and (4) Entrant hereby waives all rights to claim Special Damages and all rights to have such damages multiplied or increased. Indiana law, without reference to Indiana’s choice of law rules, governs the Promotion and all aspects related thereto.
